The Elevara Closers agreement, in plain English. It's an independent sales representative agreement. Jordan hasn't approved this text yet, so it may change before it's final.

Who this is between
This agreement is between Elevara and you, a closer Elevara has approved. It covers how you find and close clients for Elevara, and how you're paid.
You agree to it when you apply. When you're approved, Elevara sends you the final agreement to sign.

You're an independent contractor
- You're an independent contractor, not an employee, partner or agent of Elevara.
- You decide when, where and how you work, and you provide your own phone, computer and other tools.
- You're paid by commission only. There's no salary, draw, benefits or expense reimbursement.
- You handle your own taxes. Elevara may ask you for a W-9 and send you a 1099.
- You can do other work while you're a closer, as long as you keep to this agreement.

What you earn
You earn a commission on what a client pays Elevara for the audit and the build:
- 15% on a client you find: you register them, Jordan approves the registration, and you close them at a price he approved.
- 10% on a lead or a booked appointment Jordan hands you, when you close it at a price he approved.
Recurring and monthly fees are never commissioned. That includes the monthly fee for hosting, monitoring and changes.
Your rates are the ones Elevara confirms when you're approved. Any other rate has to be agreed in writing.
For example, on a $50,000 build that's $7,500 on a client you found, or $5,000 on an appointment Jordan hands you.

Two approvals
Your prospects. Register each business you find before you pitch it. Jordan reviews every registration and can approve or decline it. Only approved registrations earn commission.
Your prices. You can discuss budget and what the work usually involves. Before you agree to any price, submit it for Jordan's approval. He can approve it, adjust it or decline it. Close only at the price he approved. A deal closed at a price Jordan didn't approve earns no commission.

Registrations and the 90 days
- Once Jordan approves a registration, that business is yours for 90 days, starting the day he approves it.
- A business can't be registered if Elevara already has an open deal with it, including a registration waiting for Jordan's review.
- If the business hasn't paid for an audit by the end of the 90 days, the registration ends, unless Jordan extends it in writing. Once they've paid, the deal stays yours through the build.
- Register only businesses you're actually working. Elevara can decline registrations that aren't real, active prospects.
- Leads and booked appointments Jordan hands you are assigned to you directly and don't need registering.

When and how you're paid
- Commission is earned on money the client has actually paid, once the payment clears. Quotes, invoices and signed contracts don't count until they're paid.
- Paid by bank transfer or card payout within 7 days after the client's payment clears.
- If a client pays in parts, you're paid on each part as it clears.

Refunds
- If Elevara refunds a client, or a payment is reversed or charged back, the commission on that amount is reversed.
- Elevara takes it out of your next commission. If none is coming, you agree to pay it back.

Representing Elevara honestly
- Use your own name. Never say or suggest that you're Jordan.
- Tell prospects the truth. Share only results, clients or numbers Jordan has given you in writing. Jordan shows the systems he runs live on the call.
- Don't invent clients, results or statistics.
- Stick to the facts in the playbook. When you don't know an answer, say Jordan will cover it.

Calls, texts and email
- Follow every law that applies to calls, texts and email, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
- No robocalls, no prerecorded messages, and no AI or automated calls.
- No texts to anyone who hasn't opted in to receive them.
- No spam. Every email has to be honest about who it's from and what it's about, and has to honor requests to stop.
- Stop contacting anyone who asks you to, and respect the National Do Not Call Registry.
- You're responsible for how you contact people. If your calls, texts or emails break these rules, Elevara can end this agreement right away, and you're responsible for any claims that result.

Confidentiality
- Keep Elevara's non-public information private, during this agreement and after it ends. That includes prices, plans, audit findings, briefs, client and prospect details, and how Elevara's systems work.
- Use it only to work on Elevara deals. When the agreement ends, delete it or give it back.

No soliciting Elevara's clients
While this agreement is in place, and for 12 months after it ends, don't solicit any Elevara client you worked with or learned about through the program to buy automation services from anyone else, or to stop or reduce their work with Elevara.

Ending the agreement
- Either side can end this agreement at any time, for any reason, by email.
- Commission you earned before it ended is still paid, on the normal schedule.
- The refunds, confidentiality, no-soliciting and Florida law sections keep applying after it ends.

Changes
Elevara can update these terms by emailing you. Changes never reduce commission you've already earned.

Florida law
The laws of the State of Florida govern this agreement.
